Terms of Service

Welcome to AdManager Pro! These Terms of Service ("Terms") govern your access to and use of the AdManager Pro advertising network, website, and services (collectively, the "Service"), owned and operated by Ramerlabs ("we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Definitions

• "Advertiser" refers to any individual or entity that creates an account to purchase advertising space through our Service.
• "Publisher" refers to any individual or entity that creates an account to make advertising space on their website(s) available through our Service.
• "Ad Content" refers to any text, images, videos, URLs, and other materials submitted by an Advertiser for display.
• "Publisher Property" refers to the website(s) owned or controlled by a Publisher and approved for use within the Service.

2. Account Registration and Responsibilities

To use our Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately at support@ramerlabs.com of any unauthorized use of your account.

3. Terms for Advertisers

• Ad Content: You are solely responsible for all Ad Content submitted to the Service. You represent and warrant that you own or have the necessary licenses, rights, and permissions to use and authorize us to display your Ad Content.
• Payments: You agree to pre-pay for your advertising campaigns by funding your account balance. The cost of impressions (CPM) and clicks (CPC) will be deducted from your account balance based on the rates specified in your dashboard. All payments are final and non-refundable except as required by law.
• Review Process: We reserve the right to review and approve or reject any Ad Content at our sole discretion, for any reason, particularly if it violates the policies outlined in Section 5.

4. Terms for Publishers

• Website Approval: You must submit your website(s) for approval. We reserve the right to approve or reject any Publisher Property at our sole discretion. Websites containing prohibited content will be rejected.
• Implementation: You agree to implement our ad-serving code on your approved Publisher Property in accordance with our instructions. You may not alter the ad code or obscure the visibility of the ads in any way.
• Fraudulent Activity: You are strictly prohibited from engaging in any fraudulent activity to generate impressions or clicks. This includes, but is not limited to, clicking your own ads, using bots or automated software, or encouraging others to click on ads. Discovery of such activity will result in immediate account termination and forfeiture of all earnings.
• Earnings and Payouts: You will earn a revenue share from the advertising fees generated on your Publisher Property, as specified in your dashboard. Payouts will be made according to the payment schedule and minimum threshold detailed on our platform, provided your account is in good standing.

5. Ad Content Policies

To ensure a safe and positive experience for all users, we have established the following policies for ad content. All advertisers are required to comply with these policies. This list is not exhaustive, and we reserve the right to reject any ad that we deem inappropriate.

Allowed Products and Services

We generally allow advertisements for legitimate, legal, and reputable products and services. Examples include, but are not limited to:

• E-commerce & Retail: Fashion, electronics, home goods, etc.
• Technology & Software: SaaS products, mobile apps, IT services.
• Education: Online courses, educational institutions, tutoring services.
• Travel & Hospitality: Hotels, airlines, travel agencies.
• Health & Wellness: Fitness services, nutritional products (with proper claims).
• Business & Finance: B2B services, financial planning (subject to local regulations).
• Entertainment & Hobbies: Gaming, books, arts & crafts.
• Real Estate & Automotive: Property listings, vehicle sales.

Prohibited and Restricted Content

The following categories of products and services are strictly prohibited on the AdManager Pro network:

• Illegal Products and Services: Any content promoting illegal acts, substances, or enterprises.
• Dangerous Products: Weapons, ammunition, explosives, recreational drugs, and tobacco products.
• Counterfeit Goods: Products that imitate trademarked or copyrighted goods.
• Hate Speech & Discriminatory Content: Content that incites hatred, promotes discrimination, or disparages on the basis of race, ethnic origin, religion, disability, age, veteran status, sexual orientation, or gender identity.
• Adult Content: Sexually explicit content, pornography, and adult services.
• Deceptive & Misleading Claims: "Get-rich-quick" schemes, unrealistic promises, and ads with false information.
• Malicious Software: Ads containing or linking to malware, spyware, viruses, or other harmful software.
• Gambling: Online and offline gambling services (unless properly licensed and targeted to approved regions).
• Unregulated Pharmaceuticals: Promotion of prescription drugs or unapproved supplements.

6. Intellectual Property

Other than your Ad Content or Publisher Property, the Service and all of its original content, features, and functionality are and will remain the exclusive property of Ramerlabs.

7. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason whatsoever, including a breach of the Terms or Ad Content Policies.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

In no event shall Ramerlabs be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

10. Governing Law

These Terms shall be governed by the laws of the Philippines. Any disputes will be resolved in the courts of Davao City.

11. Changes to Terms

We reserve the right to modify these Terms at any time and will provide at least 30 days' notice of any material changes.
